Policy terms, carrier details, and coverage limits will be confirmed and documented prior to engagement execution.

SLA Financial Remedies Active
If disruption continues beyond the 4-hour OEM response window, Verde Compute's contractual SLA remedy obligations will trigger automatically. The client will receive defined financial compensation per the engagement SLA schedule. Verde Compute's capital structure obligations will continue uninterrupted through the business interruption insurance framework — all obligations will be met in full through the BI coverage period.

Each engagement will be structured through a dedicated Delaware SPV — legally isolated from all other Verde Compute operations. Your contract will be with an entity created exclusively for your engagement.

Take-or-Pay Offtake Agreement
Multi-year take-or-pay commitment. Revenue will be contractually committed regardless of client utilization — and all defined SLA failure consequences will flow in one direction: Verde Compute will bear them, per the engagement MSA.

Client payments will flow into escrow administered by an independent Tier-1 U.S. institutional trustee. Capital obligations, operating costs, and net revenue will be distributed per a pre-defined waterfall schedule — visible to all authorized parties.

Forward Capacity Reservation

Engagements can be structured as Forward Capacity Reservations — allowing institutions to lock dedicated AI infrastructure capacity ahead of fiscal year deployment requirements. Capacity reservations are confirmed via LOI and locked at contract execution.

upgrade it, or own it.
At the end of your engagement term, Verde gives you a choice unavailable in standard cloud contracts: transition to next-generation NVIDIA hardware, or purchase your cluster outright. Both paths are transparent, pre-agreed, and without surprises. Your infrastructure. Your decision.
